These Terms and Conditions (these “Terms”) govern your access to and use of the services provided by Advisent, LLC and Advisent Assurance, LLP (together, “Advisent,” “we,” “us,” or “our”). By using our websites, mobile apps, and associated services (the “Services”), you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.
- Who We Are
- Advisent, LLC: a limited liability company organized under the laws of California, United States, providing advisory and related services through Advisent’s online platforms.
- Advisent Assurance, LLP: a limited liability partnership organized under the laws of California, providing assurance and related services through Advisent’s online platforms.
- The Services may be operated by one or both entities, and references to “Advisent” in these Terms may apply to both entities as context requires.
- Acceptance of Terms
- By accessing, browsing, registering, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
- If you are entering on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
- Changes to Terms
- We may update these Terms from time to time. We will post the updated Terms on our Site and indicate the effective date. Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the changes.
- Privacy and Data Protection
- Our Privacy Policy explains how we collect, use, and share information about you. By using the Services, you consent to our data practices described in the Privacy Policy. If applicable, you must provide any consent required by law for processing of personal data.
- Access and Registration
- Some parts of the Services may require you to create an account. You must provide accurate information and keep your credentials secure. You are responsible for all activity that occurs under your account.
- You agree not to use another person’s account without permission and not to authorize third parties to access your account.
- Prohibited Conduct
- You agree not to:
- Violate any law or regulation, or infringe intellectual property rights.
- Engage in any activity that disrupts or harms the Services, servers, networks, or security.
- Misrepresent your identity or affiliation.
- Post or transmit content that is unlawful, harmful, defamatory, obscene, or infringing.
- Use automated means to access the Services or collect data, unless permitted by us.

- Intellectual Property
- All content, software, trademarks, and logos on the Services are owned by or licensed to Advisent and are protected by intellectual property laws.
- You may use the Services for your internal business purposes only and may not copy, reproduce, distribute, modify, or create derivative works without our explicit written consent, except as permitted by these Terms or the functionality of the Services.
- If you provide feedback, ideas, or suggestions, you grant us a royalty-free, perpetual license to use or incorporate them.
- Licensed Materials and Third-Party Content
- The Services may include third-party content or links to third-party sites. We do not endorse or assume responsibility for external content. Your use of third-party services is subject to their terms.
- Privacy
- We may collect information from and about you as described in our Privacy Policy. Please review the policy to understand our privacy practices.
- Confidentiality
- Each party agrees to maintain the confidentiality of non-public information disclosed in connection with the Services, except as required by law or as necessary to perform the services.
- Fees, Billing, and Payments
- If you purchase paid services, you agree to provide current, complete, and accurate payment information and to pay all charges incurred in connection with your account.
- All fees are non-refundable unless stated otherwise in writing or required by applicable law.
- Warranties and Disclaimers
- The Services are provided “as is” and “as available.” We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, and reliability.
- We do not guarantee uninterrupted or error-free operation of the Services.
- To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services.
- Limitation of Liability
- To the extent permitted by law, our total aggregate liability arising out of or related to these Terms or the Services shall not exceed one (1) times the amount paid by you for the relevant services in the twelve (12) months preceding the claim, or $100, whichever is greater.
- The foregoing limitations do not apply to liability arising from gross negligence, willful misconduct, or violations of applicable law, where prohibited.
- Indemnification
- You agree to indemnify, defend, and hold harmless Advisent, its affiliates, and their officers, directors, employees, and agents from any claims, losses, damages, or expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms, your violation of law, or your use of the Services.
- Termination
- We may suspend or terminate your access to the Services at our discretion, with or without notice, for conduct that violates these Terms or is otherwise inappropriate.
- Upon termination, all rights granted to you under these Terms cease, and you must stop using the Services.
- Governing Law and Dispute Resolution
- These Terms and any disputes related to them shall be governed by and construed in accordance with the laws of the state/country chosen for governing law (e.g., [California, United States]).
- You and Advisent agree to attempt to resolve disputes through good-faith negotiation before pursuing other remedies. Any unresolved dispute shall be resolved by binding arbitration or in court, as specified in a separate arbitration clause or applicable law, and may require waiving, or not waiving, the right to a jury trial.
- Class Action Waiver
- To the extent permitted by law, you waive any right to bring or participate in class or representative actions against Advisent arising out of or related to these Terms.
- Export Control
- You agree to comply with all applicable export laws and restrictions and not to transfer restricted technology to prohibited destinations.
- Compliance with Laws
- You agree to comply with all applicable local, state, national, and international laws in connection with your use of the Services.
- No Legal Relationships
- The Services do not create an attorney-client or other confidential relationship unless and until a separate engagement letter or agreement is signed for specific services. Advisent is not your substitute for independent professional advice.
- Feedback and Communications
- You agree that Advisent may use feedback, suggestions, or ideas you provide without compensation or attribution, and in any manner, including for product development and marketing.
- Notices
- Any notices under these Terms must be in writing and will be considered given when delivered to the recipient’s address on file or via the Service’s designated communication channels.
- Text Messaging
- By “Opting In” to or using a Text Message Service from Advisent, you accept these Terms and Conditions. This agreement is between you and Advisent, LLC and/or Advisent Assurance, LLP.
- Definitions: “Opting In” refers to requesting, joining, agreeing to, enrolling in, signing up for, acknowledging, responding to, or otherwise consenting to receive one or more text messages. “Text Message Service” includes any arrangement in which we send messages to your mobile number, including SMS, MMS, or successor technologies.
- Consenting to Text Messaging: By consenting to receive text messages from us, you agreed to these Terms, as well as our Terms and Conditions and Privacy Policy, which are incorporated herein by reference.
- E-Sign Disclosure: By agreeing to receive text messages, you also consent to the use of an electronic record to document your agreement. You may withdraw your consent to the use of the electronic record by replying STOP.
- Privacy: We respect your privacy. Information you provide will be used to transmit your mobile messages and respond to you, including sharing information with vendors who assist us. Mobile information will not be shared with third parties for marketing purposes. We may disclose information as required by law or to protect our rights.
- Costs: We do not charge for messages sent or received via this service. However, message and data rates may apply depending on your carrier.
- Frequency: This service is for conversational person-to-person communication. We may send you an initial message about the service. The number of text messages you receive will vary depending on how you use our services and your requests.
- Opting Out: To stop receiving messages, reply STOP, QUIT, END, REVOKE, OPT OUT, CANCEL, or UNSUBSCRIBE. Opt-out requests are specific to each conversation. After unsubscribing, we may send you one confirmation message.

- Entire Agreement; Severability
- These Terms, together with any terms referenced herein (e.g., Privacy Policy, any fee schedules, and any engagement letters), constitute the entire agreement between you and Advisent regarding the Services and supersede all prior agreements.
- If any provision is found unenforceable, the remaining provisions will continue in full force and effect.
